Terms of service

Agreement

These terms govern your use of the Atlaned website, platform, and related services (the "Service"), provided by Atlaned Inc., a federally incorporated Canadian company based in Ontario ("Atlaned", "we", "us"). By creating an account or using the Service, you agree to these terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these terms for it, and "you" refers to that organisation.

If your organisation has signed a separate agreement with Atlaned, that agreement takes precedence where it conflicts with these terms.

The service

Atlaned is a geotechnical engineering platform for managing site investigation data and running analyses, including borehole logging, CPT and SPT interpretation, cross-sections, slope stability, and reporting. We may add, change, or remove features as the product develops. We will give reasonable notice before removing functionality your organisation relies on.

Early access

Atlaned is currently available by invitation as part of an early-access programme. During early access:

• the Service is provided free of charge to invited teams;
• features may be incomplete, change without notice, or be withdrawn;
• we do not commit to a service level, uptime target, or support response time;
• we may ask for feedback and, if you agree, invite you to calls with our team.

We will tell you before early access ends and explain the options for continuing to use the Service.

Accounts

You must give accurate information when you create an account and keep it up to date. You are responsible for keeping your login credentials secure and for all activity under your account. Account administrators control who in their organisation can access projects and data. Tell us promptly at security@atlaned.com if you suspect unauthorised access.

Acceptable use

You agree not to:

• use the Service in breach of any law or third-party right;
• upload malware or content you do not have the right to use;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• interfere with or overload the Service, or bypass its security or usage limits;
• reverse engineer, decompile, or copy the Service, except where the law expressly permits it;
• resell, sublicense, or provide the Service to third parties without our permission;
• use the Service to build a competing product.

Your content

You keep all rights to the data, files, and results you upload or create in the Service ("Your Content"). You grant us a limited licence to host, process, and display Your Content only as needed to provide, secure, and support the Service for you.

We do not sell Your Content, share it with other customers, or use it to train machine learning models. You can export Your Content at any time while your account is active. Our handling of personal data is described in our Privacy policy.

Engineering responsibility

Atlaned is a tool that supports qualified professionals. It does not replace engineering judgement. Analysis results depend on the input data, the methods and correlations you select, and the assumptions behind them.

You are responsible for checking the suitability of methods and parameters for your project, verifying results, and complying with the codes, standards, and regulations that apply to your work. Any design, report, or decision based on output from the Service remains the responsibility of the engineer of record. Our published verification documents describe how we test our calculations, but they do not certify any particular use.

Intellectual property

Atlaned and its licensors own all rights in the Service, including its software, design, documentation, and trademarks. These terms give you a non-exclusive, non-transferable right to use the Service during your subscription. They do not transfer any ownership to you.

Feedback

If you send us suggestions or feedback, we may use them to improve the Service without any obligation to you. We will not identify you or your organisation publicly as the source without your permission.

Fees

The Service is free during early access. Before we introduce paid plans, we will publish pricing and give you at least 30 days' notice. You will not be charged unless you choose a paid plan.

Confidentiality

Each party will keep the other's non-public business and technical information confidential and use it only for the purposes of these terms. This does not apply to information that is public, already known to the receiving party, independently developed, or that must be disclosed by law.

Suspension and termination

You can stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these terms, if your use creates a security risk, or if required by law. Where reasonable, we will give notice and a chance to fix the issue first. We may also end the early-access programme with at least 30 days' notice.

After termination, you will have 30 days to export Your Content. We then delete it as described in our Privacy policy.

Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, error-free, or fit for a particular purpose, or that its results are accurate for your specific project. This is especially true during early access.

Limitation of liability

To the extent permitted by law, Atlaned is not liable for indirect or consequential loss, lost profits, lost revenue, or loss of data. Atlaned is also not liable for any loss arising from design or construction decisions based on output from the Service.

Our total liability under these terms is limited to the greater of the fees you paid us in the 12 months before the claim or CA$500. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for wilful misconduct or gross negligence.

Indemnity

You will indemnify Atlaned against third-party claims arising from Your Content or from your use of the Service in breach of these terms or the law.

Changes to these terms

We may update these terms from time to time. For material changes, we will notify account holders by email at least 30 days before they take effect. If you keep using the Service after that, you accept the updated terms. The effective date at the top of this page reflects the most recent revision.

Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. Disputes will be submitted to the courts of Ontario sitting in Toronto, unless mandatory law gives you the right to bring proceedings elsewhere.

General

If any provision of these terms is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. These terms are the entire agreement between us about the Service, unless you have signed a separate agreement with us.
